2. Services, Relationship, and Disclaimer

 

 

2.1 Nature of Services

 

MJBC provides non-legal, non-accounting, and non-financial advisory and consulting services related to business strategy, operations, and financial management.

 

2.2 Client Responsibilities

 

The Client acknowledges and agrees that: a. The success of the consulting engagement depends heavily on the Client's timely and complete provision of accurate information and the implementation of advice. b. The Client is solely responsible for making final business decisions, implementing strategies, and evaluating the impact of the advice provided by MJBC.

 

2.3 No Guarantee of Results

 

MJBC provides professional advice based on the information provided by the Client and industry best practices. MJBC (Maureen James LLC) does not guarantee specific results, revenue increases, profit margins, or any other financial outcome. All business involves inherent risk, and the Client assumes full responsibility for all risks associated with the implementation of the advice.

 

3. Fees, Billing, and Payment Terms

 

 

3.1 Fees

 

The fees for Services will be outlined in a separate Service Agreement, Statement of Work (SOW), or proposal provided to the Client.

 

3.2 Payment

 

Payment terms (e.g., upfront retainer, monthly installments, payment upon completion) will be specified in the SOW. All fees are due by the date specified on the invoice.

 

3.3 Late Payments

 

Invoices not paid within [Insert Number] days of the due date may be subject to a late payment charge of [Insert Percentage]% per month or the maximum amount permitted by law, whichever is lower. MJBC reserves the right to suspend or terminate Services immediately for any late or non-payment.

 

3.4 Refunds and Cancellations

4. Intellectual Property (IP)

 

 

4.1 Client IP

 

The Client retains all ownership rights to any and all confidential or proprietary business information, financial data, and pre-existing materials provided to MJBC.

 

4.2 MJBC IP

 

MJBC (Maureen James LLC) retains all ownership rights to its proprietary consulting methodologies, tools, models, templates, frameworks, and all materials developed prior to or independently of the consulting engagement ("Methodology IP"). a. MJBC grants the Client a non-exclusive, non-transferable license to use the Methodology IP solely for the Client's internal business purposes related to the specific consulting engagement. b. The Client may not sublicense, sell, or otherwise distribute the Methodology IP to any third party without the express written permission of Maureen James LLC.

 

5. Confidentiality

 

Both the Client and MJBC agree to hold each other’s confidential information in strict confidence and will not disclose it to any third party except as required by law or necessary for the execution of the Services. Confidential Information includes, but is not limited to, financial data, business plans, trade secrets, employee information, and proprietary methodologies.

 

6. Limitation of Liability

 

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MAUREEN JAMES LLC (INCLUDING MJ BUSINESS CONSULTING) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, OR USE, INCURRED BY THE CLIENT OR ANY THIRD PARTY, ARISING FROM OR RELATING TO THE SERVICES.

MJBC's total liability to the Client for any claim arising out of or related to these Terms or the Services shall not exceed the total amount of fees actually paid by the Client to MJBC for the specific Services giving rise to the claim in the twelve (12) month period preceding the claim.

 

7. Indemnification

 

The Client agrees to indemnify, defend, and hold harmless Maureen James LLC, its officers, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney’s fees) arising from: a. The Client’s use of and access to the Services. b. The Client’s violation of any term of these Terms. c. Any third-party claim arising from the Client’s implementation of advice.

 

8. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of the State of [Insert Your State of Business Registration], without regard to its conflict of law principles.

Any dispute arising from these Terms or the Services shall first be subject to good faith negotiation between the parties.
